AstraEye Labs - Terms of Service
Effective date: August 28, 2026
1. Nature of the Service
AstraEye Labs is an AI-powered research and analytics platform for crypto assets, U.S. equities, portfolio monitoring, and market research workflows. The platform helps users organize portfolio data, run AI-assisted research projects, view AI-generated findings, review research observations, and ask SAGE follow-up questions about research results.
AstraEye Labs is not a broker-dealer, investment adviser, commodity trading advisor, money transmitter, exchange, custodian, bank, tax adviser, or legal adviser.
All research reports, scientist findings, alerts, watch items, portfolio observations, SAGE answers, and related content are provided for informational and educational purposes only.
These Terms of Service ("Terms") are a binding agreement between you and AstraEye Labs, LLC ("AstraEye Labs", "we", "us"). By creating an account or using the platform, you agree to these Terms, the Privacy Policy, and the Risk and AI Disclosure, each of which is incorporated by reference. If you do not agree, do not use the platform.
2. Eligibility and Account Registration
You must be at least 18 years old and have the legal capacity to enter into a binding contract. By using AstraEye Labs you represent that you meet these requirements, that the information you provide is accurate and current, and that you are not barred from using the platform under applicable law (including sanctions and export-control laws - see Section 15).
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to enable available security features, keep your contact information current, and notify us promptly at security@astraeyelabs.io of any unauthorized access or suspected compromise. You may not share, sell, or transfer your account.
3. No Financial, Investment, Legal, or Tax Advice
AstraEye Labs does not provide personalized financial advice, investment advice, legal advice, or tax advice. Nothing on the platform is a recommendation, solicitation, offer, instruction, fiduciary communication, or direction to buy, sell, hold, exit, short, hedge, rebalance, or otherwise transact in any security, crypto asset, derivative, commodity, or other financial instrument.
Informational research, not individualized advice. Where the platform presents analytics about assets you hold or track, it provides descriptive information and research tools - for example, exposure, concentration, volatility, and historical statistics. AstraEye Labs may use data you provide, including holdings, preferences, questions, and risk-limit settings, to apply filters or thresholds, calculate descriptive metrics, select or present research, and respond in context. It does not conduct a holistic suitability assessment, determine that a holding, strategy, or transaction is appropriate for you, recommend that you buy, sell, hold, or rebalance any particular asset, or enter into an advisory or fiduciary relationship with you.
Asset-level research does not assess suitability. Research about an asset may vary based on timing, available data, selected templates, requested analyses, user questions, and AI model behavior. AstraEye Labs does not adapt its research output into an individualized transaction recommendation or represent it as a determination that an asset, strategy, or transaction is suitable or appropriate for you. Asset-level research is provided as impersonal research.
Portfolio and conversational context remain informational. Portfolio dashboards and descriptive metrics necessarily reflect the holdings and other data you provide, including preferences and risk-limit settings. SAGE may answer your questions using that data, your prior research artifacts, and the context of your questions. These features describe, compare, filter, or summarize your supplied information and existing research; they do not assess suitability, determine that a transaction is appropriate for you, or recommend that you buy, sell, hold, or rebalance an asset. To the extent asset-level content on the platform could be deemed investment advice or a recommendation concerning a particular security, it is impersonal and not tailored to the investment needs of any specific person. AstraEye Labs does not act as your fiduciary by virtue of your use of the platform.
You are solely responsible for evaluating all information shown by AstraEye Labs and for making your own independent decisions. You should consult a qualified financial, legal, tax, or investment professional before making decisions that may affect your finances.
Any gains, losses, cost basis, income, classifications, prices, or similar figures shown by AstraEye Labs are research and portfolio-monitoring estimates, not tax determinations or tax-return calculations. AstraEye Labs does not prepare, file, amend, or review tax returns, determine your tax obligations, or represent you before any tax authority.
4. Informational Research Artifacts Only
AstraEye Labs may display "beacons," "findings," "research notes," "alerts," "watch items," "risk observations," or similar labels. These labels describe research artifacts generated by the platform's AI systems. They do not mean that AstraEye Labs is advising you to trade or that AstraEye Labs has determined that an action is suitable for you.
Beacons and other research artifacts are decision-support information. They are not orders, instructions, recommendations, guarantees, or promises of future performance. AstraEye Labs does not present or provide market or trading signals of any kind to users.
The methodology by which AstraEye Labs generates, scores, ranks, selects, emphasizes, or de-emphasizes beacons, findings, and research artifacts is proprietary, is applied in AstraEye Labs' sole discretion, and may consider, ignore, weight, or combine factors in ways that change over time and are not disclosed.
5. No Public Live Trade Execution
The public AstraEye Labs platform does not place trades. Public users cannot use AstraEye Labs to prepare, approve, execute, or route orders; custody assets; move funds; or control brokerage or exchange accounts.
Public production builds do not include an order-placement path that can be enabled by a user or administrator. Connected-account credentials are accepted for portfolio synchronization only; where a venue exposes permission information, credentials detected as able to trade, transfer, or withdraw are rejected.
Any future transaction product would be separately developed and subject to its own legal, regulatory, compliance, security, and operational review and, where offered, separate terms, eligibility requirements, disclosures, consents, and regulatory approvals.
6. No Custody or Money Transmission
AstraEye Labs does not take custody of user funds or assets. Users' cash, securities, crypto assets, and other financial instruments remain with the user's own broker, exchange, wallet, bank, or custodian.
AstraEye Labs does not receive, hold, transfer, transmit, exchange, or settle user funds or user assets.
7. Portfolio and Account Data
Users may provide portfolio data manually, by CSV import, or through approved broker, exchange, data-provider, or account-linking integrations. AstraEye Labs uses this data to generate research context, analytics, dashboards, usage history, and AI-assisted research outputs.
Linking adds descriptive context, not personalized advice. Connecting or importing your portfolio determines which securities AstraEye Labs surfaces research and observations for and lets it compute descriptive metrics about the holdings you provide, such as concentration, exposure, or diversification. It does not individualize, tailor, or change the underlying asset-level research. SAGE may use your portfolio data, prior research artifacts, and questions to provide contextual explanations or summaries. AstraEye Labs does not use your holdings, goals, risk tolerance, time horizon, tax circumstances, or financial situation to recommend transactions or to determine whether any holding or strategy is suitable for you.
You are responsible for ensuring that any data you provide is accurate, lawful to use, and belongs to accounts you are authorized to access.
Never provide AstraEye Labs with a self-custody wallet seed phrase, recovery phrase, mnemonic, or wallet private key; an exchange password; or any credential capable of authorizing trades, withdrawals, transfers, transaction signing, or asset movement. This prohibition does not include a supported exchange's read-only API authentication or signing credential that cannot authorize those activities. AstraEye Labs does not request or accept trade, write, withdrawal, transfer, transaction-signing, or asset-movement permissions for research functionality. Where a venue exposes permission information, AstraEye Labs rejects credentials detected as having any such capability. If a credential's permissions later change to include any such capability, AstraEye Labs may reject or disable the connection.
Your authorization to access linked data. When you connect a brokerage, exchange, or other financial account, you expressly authorize and instruct AstraEye Labs - and its account-linking providers, such as Plaid - to initially and periodically access, retrieve, and store, on a read-only basis, the institution and account identifiers, account type, connection status, balances, holdings, positions, quantities, market values, available cost-basis information, investment transactions, and related account data from the accounts you select, for as long as the connection remains active, in order to provide the research and analytics features you request. This authorization does not include, and AstraEye Labs does not request, permission to move funds, transfer assets, or place trades. You may withdraw this authorization at any time by disconnecting the account in your settings; doing so stops future retrieval but does not affect processing already performed or require immediate deletion of copies retained as described in the Privacy Policy. When an account-linking interface presents a provider's terms or privacy notice, completing the connection constitutes your direction to that provider and acceptance of the terms presented by that provider.
Self-custody wallet identifiers. When you add a supported public blockchain address or supported read-only Bitcoin account extended public key (xpub), you represent that you own or are authorized to monitor it and instruct AstraEye Labs and its blockchain-data providers to retrieve, and refresh when you request synchronization of, the publicly available balances and asset information associated with that identifier and, for a Bitcoin account xpub, public receive and change addresses derived from it. A public address and its on-chain activity are visible to anyone; adding one to AstraEye Labs may enable AstraEye Labs and its providers to associate that public activity with your account as described in the Privacy Policy. Unless you complete AstraEye Labs' optional signature-verification flow, AstraEye Labs does not independently verify control of an address. A successful signature verifies control of the corresponding signing key at the time of verification; it does not establish legal or beneficial ownership, continuing control, or continuing authorization. Displaying an address, balance, label, or asset does not establish that you own or control it.
Self-custody monitoring is read-only. A single-address connection is address-specific. A supported Bitcoin account-xpub connection derives bounded receive and change address ranges using the selected address format, but does not discover other accounts, address formats, or chains and may not prove a complete wallet balance. It does not connect to or pair with a Ledger or other hardware wallet. AstraEye Labs does not accept a wallet descriptor, extended private key (xprv), seed phrase, recovery phrase, mnemonic, or private key; do not provide any of them. AstraEye Labs cannot sign, approve, simulate, broadcast, reverse, or otherwise participate in a blockchain transaction and cannot freeze, recover, or move assets.
Only supported networks and verified asset mappings are included in portfolio totals, SAGE context, and scientist data. Unsupported, unverified, spam, or unpriced assets may be omitted, shown separately, or assigned no value even if a provider reports them. You are responsible for adding every address you want to monitor and for checking the network, address, asset identity, quantity, price, and completeness against authoritative wallet and blockchain records.
Removing an address stops future synchronization and removes the current stored wallet connection and balance records. It does not necessarily remove information already incorporated into research artifacts, audit or security records, historical or aggregate portfolio records, backups, or other records retained as described in the Privacy Policy or required by law.
Incomplete financial picture. Portfolio analytics reflect only the accounts, assets, classifications, prices, and other information available to AstraEye Labs. They may omit accounts, liabilities, illiquid assets, pending activity, outside holdings, tax circumstances, or other information material to your overall financial position.
Account synchronization availability. AstraEye Labs does not guarantee that any particular institution, account type, holding, transaction, data field, or historical period will be available or remain supported, or that synchronization will be continuous, timely, complete, or successful. Connections may require periodic reauthorization and may be interrupted by an institution, account- linking provider, network, authentication requirement, or other event outside AstraEye Labs' control.
Crypto synchronization limitations. Crypto account and wallet information may be incomplete, delayed, duplicated, misclassified, or unavailable because of exchange API limitations, blockchain reorganizations, forks, bridges, internal transfers, unsupported assets or networks, staking or liquidity-pool activity, airdrops, wrapped assets, smart-contract activity, spam tokens, or incomplete wallet-address coverage. AstraEye Labs may be unable to determine ownership, acquisition date, cost basis, tax treatment, or the relationship between transactions. You must verify material information against your exchange, wallet, blockchain, and qualified tax records.
8. AI Systems and Data Limitations
AstraEye Labs uses AI models and deterministic software systems to process market data, portfolio data, research artifacts, and user questions, in each case only to the extent permitted by applicable law and the licenses governing that data. Provider-license restrictions may limit which data can be processed by an AI system, included in an output, retained, exported, or made available through a particular feature. AI outputs may be incomplete, delayed, inaccurate, misleading, internally inconsistent, or based on stale or incorrect third-party data. See the Risk and AI Disclosure for details.
Some data, scores, and metrics shown are estimates, modeled, or derived values and may differ materially from actual or finalized figures when those become available. Market and reference data may be delayed and may be subject to additional restrictions imposed by the originating exchange or data provider.
You should not rely on AstraEye Labs as your only source of market monitoring, portfolio monitoring, risk management, financial planning, tax planning, or investment research.
AstraEye Labs is not an official account statement, books-and-records system, tax record, or transaction-confirmation system. Aggregated balances, holdings, positions, cost basis, and transaction information may differ from the records maintained by your financial institution. You must use the institution's records for trading, reconciliation, tax reporting, and other authoritative purposes. You are responsible for retaining your own source records, exports, statements, transaction history, and other information needed for financial, legal, or tax purposes. Do not use AstraEye Labs as your only backup or record-retention system; data may become unavailable when an integration changes, an account is closed, a subscription or feature ends, or retention periods expire.
Past performance, backtests, confidence labels, model scores, analyst-style summaries, and research conclusions do not predict future results.
Do not over-rely on AI output. Despite the disclaimers in these Terms and the Risk and AI Disclosure, users may mistakenly treat AI-generated output as individualized investment advice or a recommendation tailored to their needs. It is not. Independently verify any AI output before relying on it, and do not act on it as though it were personalized advice.
9. Market Risk
Trading and investing involve substantial risk. Crypto assets, equities, options, derivatives, and other financial instruments can be volatile and may result in partial or total loss of capital. Markets may move rapidly, prices may be unavailable or inaccurate, orders placed outside AstraEye Labs may fail, and third-party platforms may experience outages. These risks are described more fully in the Risk and AI Disclosure.
You assume full responsibility for all financial decisions and outcomes.
10. Subscriptions, Astra Credits, Billing, Auto-Renewal, and Cancellation
AstraEye Labs may offer paid subscription tiers, a no-charge Freelancer tier, monthly usage allowances, Astra Credits, one-time credit packs, trials, promotions, and usage-based limits. Astra Credits are platform usage units for eligible AI research, SAGE interactions, new voice generation, paid manual brokerage refreshes, and other features that show an Astra Credit charge before use. They are not money, stored value, cryptocurrency, securities, property, rewards, or transferable balances. They have no cash value, cannot be withdrawn, and cannot be moved to another account.
Paid-plan monthly allowance. Each paid tier includes the monthly Astra Credit allowance shown for that tier at checkout. The allowance applies to one stored monthly plan cycle. It refreshes at the start of the next monthly cycle, including when the subscription itself is billed annually. Unused included allowance does not roll over and disappears when that cycle ends. A new cycle's allowance replaces it. An immediate paid-tier upgrade may increase the current cycle's allowance. A downgrade does not reduce the allowance already stored for the current cycle and applies to a later cycle. Plan prices, allowances, feature access, voice limits, research-project limits, daily-run limits, brokerage connection limits, and other operational limits are the values displayed before checkout and in account settings.
Freelancer verification grants. Freelancer has no monthly included allowance. A Freelancer user may receive up to 600 Astra Credits one time, released in three parts: 100 Astra Credits after successfully verifying the account's own email address at registration, 200 Astra Credits after successfully verifying a recovery email address, and a further 300 Astra Credits after successfully verifying a phone number. Each is independent, and a user who completes only some receives only those parts. These grants are for Freelancer accounts only; a paid plan receives its monthly included allowance instead and is not eligible for them. A user who already received the full 500 Astra Credits under the previous single-grant rule keeps those credits and is not eligible for a further grant of that part. Each verified email address may receive the 100 only once, each verified recovery email address may receive the 200 only once, and each verified phone number may receive the 300 only once, across AstraEye accounts, including after an account is closed or another account is created. The keyed abuse-control record for this one-time eligibility may be retained as described in the Privacy Policy. Phone verification can still succeed when the grant was previously used or when a temporary grant-processing problem requires a later retry.
Purchased credits. Astra Credits bought in a one-time credit-pack purchase do not expire. They remain tied to the purchasing account until used, refunded, reversed because of a payment dispute, or adjusted as required by law. Ending a paid subscription does not by itself remove purchased credits. Closing an account makes all remaining credits inaccessible and does not permit their transfer. Promotional or administrator-granted credits may expire only when an expiration is clearly disclosed when they are granted.
Consumption order. Eligible usage consumes the current monthly included allowance first, then expiring promotional credits, then permanent promotional credits, and then purchased credits. A higher-priority balance is exhausted before a lower-priority balance is used. When an allowance ends, any remaining included amount disappears; purchased credits and permanent promotional credits remain.
Quotes, reservations, settlement, and corrections. Before paid work starts, AstraEye Labs may show a fixed charge or maximum estimate and temporarily reserve that amount from the available balance. Active reservations reduce what is available for other work. Completed work settles to the disclosed fixed charge or to the measured charge up to the reserved maximum, and any unused reservation is released. A request that fails before billable provider work starts is not charged. If work is charged but cannot be delivered or recorded, we may post a linked reversal or restoration rather than changing the original audit record. Internal maintenance such as automatic conversation compaction, legal-language review, cache work, or other platform housekeeping is an AstraEye Labs operating cost and does not consume user Astra Credits.
Research Lab may use an immutable fixed Astra Credit quote attached to the accepted work. SAGE and voice work may use the execution-time provider price and the Astra Credit conversion rate stored with the charge. A later catalog, tier, price, or conversion-rate change does not reprice an already recorded charge. Cached voice playback and deterministic product guidance that do not invoke new billable provider work are not charged.
Displayed plan prices exclude applicable sales, use, value-added, or similar taxes unless checkout expressly says otherwise. Applicable taxes are calculated from the billing information collected at checkout and added to the recurring charge as required by law.
AstraEye Labs may meter eligible usage, enforce disclosed plan and safety limits, limit abuse, reserve credits before a request, maintain an append-only credit history, and correct duplicate, failed, refunded, disputed, or undelivered charges through linked adjustments. Administrators may be exempt from user credit enforcement for controlled operations; this does not increase another user's balance or change that user's terms.
Auto-renewal. Paid subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current price, using your payment method on file, until you cancel. In accordance with the Restore Online Shoppers' Confidence Act, 15 U.S.C. § 8403, Section 5 of the FTC Act, 15 U.S.C. § 45, and California's Automatic Renewal Law, Cal. Bus. & Prof. Code §§ 17600-17606, the automatic-renewal terms - including the renewal frequency, the recurring price, and the method to cancel - are disclosed clearly and conspicuously at checkout before you are charged, we obtain your affirmative consent to those terms, and we send an acknowledgment of the terms after purchase.
Cancellation. You may cancel at any time from your account billing settings through a simple online cancellation mechanism, without contacting support; cancellation stops the next renewal and takes effect at the end of the current paid period. You retain access through the period you have already paid for. Where required by applicable law, we will provide renewal or price-change reminders before a renewal. When paid access ends, the account moves to the available no-charge tier rather than losing the account entirely. The current paid-cycle allowance ends under the rules above, while remaining purchased credits remain available on the no-charge account. Closing the account is different from canceling a subscription: account closure cancels any active recurring subscription, anonymizes or removes data as described elsewhere, and makes remaining Astra Credits inaccessible.
Refunds. Except where required by applicable law, fees and Astra Credits are non-refundable, and partial periods are not prorated. Trials, promotions, and free allowances may change or end at any time. A refund, payment reversal, or dispute may freeze or reverse the related purchased credits. If some related credits were already used, the account may have a credit shortfall or restricted access until the payment issue is resolved, subject to applicable law.
Subscription and credit terms shown at checkout, in billing settings, or in a pricing schedule are incorporated into these Terms. We will give notice of material changes to price or terms as required by applicable law.
11. Intellectual Property and License
Our rights. AstraEye Labs and its licensors own all right, title, and interest in the platform - including its software, models and model configuration, research templates, user interface, text, graphics, the AstraEye name and logo, and all other content and materials we provide (excluding your data). No rights are granted except as expressly stated here.
Your license to use the platform. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the platform for your own personal, non-commercial investment research purposes. You may use research outputs generated for you for those purposes.
Professional and commercial use. These Terms are for non-professional, personal use. Use of the platform by or for a regulated entity (such as a broker-dealer, investment adviser, fund, or family office), or to provide services to or make decisions for third parties, or any other commercial or professional use, is not permitted under these Terms and requires a separate written agreement with AstraEye Labs. You may not present platform outputs as your own regulated advice to third parties unless you are legally authorized to do so and have such an agreement.
Your data. You retain ownership of the portfolio data, files, questions, and other content you provide ("Your Content"). You grant AstraEye Labs a worldwide, non-exclusive license to host, process, transmit, display, reproduce as technically necessary, and create derived research artifacts from Your Content solely to operate, provide, maintain, secure, support, troubleshoot, and improve the platform; enforce these Terms; and perform the purposes described in the Privacy Policy. This license permits service providers acting on our behalf and under contractual restrictions to process Your Content for those same purposes. It does not permit AstraEye Labs or its providers to use your personal or portfolio data to train or fine-tune AstraEye Labs or third-party AI models, as stated in the Privacy Policy.
You represent and warrant that you have all rights, permissions, and authority necessary to provide Your Content and direct the processing described in these Terms; that doing so does not breach any law, contract, fiduciary duty, confidentiality obligation, intellectual-property right, privacy right, or other third-party right; and that Your Content does not include information about an account, wallet, or person you are not authorized to provide or monitor. You bear the risk of loss associated with submitting Your Content and remain responsible for keeping an independent copy where needed.
Feedback. If you send us suggestions, ideas, or feedback, you grant AstraEye Labs a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
Trademarks. "AstraEye," "AstraEye Labs," and related names and logos are our trademarks. You may not use them without our prior written permission.
12. Third-Party Data and Service Providers
AstraEye Labs relies on third-party providers for hosting, storage, payments, email, AI models, market and reference data, on-chain data, broker and exchange connectivity, analytics, logging, support, and security. Material providers that process personal information are described in the Privacy Policy or an applicable subprocessor notice. Material market and reference data sources and contractually required credits are described in our Data Sources and Attributions notice. The notices may be updated as providers and features change without expanding your obligations under these Terms. These sources include public-domain U.S. government data, such as SEC EDGAR filings and macroeconomic series from FRED (Federal Reserve Bank of St. Louis), which we use with the attribution those sources request; some series that FRED redistributes carry third-party copyright and are not used.
Third-party services are governed by their own terms and policies. AstraEye Labs is not responsible for third-party outages, rate limits, data errors, model errors, API changes, provider suspensions, rejected transactions, or provider policy changes.
Third-party integrations are provided as a convenience and do not make AstraEye Labs an agent, representative, fiduciary, partner, or guarantor of a provider, brokerage, exchange, blockchain network, wallet vendor, or other third party. You are responsible for any device, connectivity, data, account, exchange, network, or other third-party fees and obligations arising from services you obtain directly from them. AstraEye Labs may change, restrict, or remove an integration when necessary for security, compliance, provider-policy, or operational reasons.
Provider authorization and continued availability. Our ability to provide a dataset, output, integration, or feature may depend on a continuing license, approval, authorization, or other permission from an exchange, publisher, data provider, or other third party. We may withhold, suspend, limit, revoke, redact, or remove access when a required permission is unavailable, expires, is revoked, changes, or cannot reasonably be verified. You receive no continuing right to the affected provider data or feature, subject to applicable law and any express commitment made to you at checkout.
Your use of provider data and services. Your access to third-party data and outputs through AstraEye Labs is also subject to the applicable providers' terms. Accordingly:
- No redistribution. You may not copy, reproduce, store, cache (beyond what the platform does to operate), redistribute, resell, sublicense, scrape, or create derivative works from third-party data, market data, or provider outputs, except as expressly permitted (see Sections 11 and 14).
- No rights in provider data. You obtain no right, title, or interest in any third-party data. That data is licensed to AstraEye Labs and made available to you only as part of AstraEye Labs' derived research and analytics; you may not extract, download, export, or reconstruct any provider's underlying dataset from the platform, or use it to build, train, or benchmark a competing product, dataset, index, or model.
- Attribution. Where a data provider requires attribution (for example, "Data provided by CoinGecko" or a citation to the source), AstraEye Labs displays it; you may not remove, obscure, or alter any provider attribution, notice, or branding.
- No implied endorsement. You may not state or imply that any data or service provider endorses, sponsors, is affiliated with, or has reviewed AstraEye Labs, you, or your use of the platform, and you may not use any provider's name or marks except as part of an attribution the provider requires.
- Provider disclaimers. Third-party data and AI outputs are provided "as is" and for informational purposes only, are not advice, and may be delayed, estimated, incomplete, or inaccurate. The data and service providers are not parties to these Terms, make no warranties to you, and are not liable to you; you rely on their data and outputs at your own risk and are responsible for any use you make of them.
Tiingo market data. Certain U.S. equity end-of-day, intraday, pricing, volume, quote, historical, and derived market data displayed through the platform is licensed from Tiingo, Inc. ("Tiingo Data"). In addition to the restrictions above, the following terms apply to your use of Tiingo Data:
- Tiingo Data is made available solely through AstraEye Labs for your own internal, personal, non-commercial research and viewing. You receive no direct access to Tiingo's services or APIs and no ownership interest in Tiingo Data.
- You may not resell, redistribute, sublicense, publish, transmit, furnish, commercially exploit, or otherwise make Tiingo Data available to another person; use it on a service-bureau basis; or use it to operate a competing data, analytics, or financial-information product.
- You may not systematically extract, download, scrape, collect, reconstruct, or create a database from Tiingo Data. You may not reverse engineer Tiingo Data, circumvent usage limits, remove proprietary notices, or attempt to identify or reconstruct underlying Tiingo Data from AstraEye Labs' calculations, research, or other derived outputs.
- Bulk export of Tiingo Data is prohibited. If AstraEye Labs expressly enables a limited export feature, the export may contain data concerning only one or a few stock tickers and may be used solely for your own personal research. A limited export does not grant any right to redistribute, resell, sublicense, publish, build a database from, or commercially exploit the exported data.
- Tiingo and its upstream data sources retain their respective rights in Tiingo Data. Tiingo Data may contain tracing or fingerprinting measures used to detect unauthorized downstream distribution, subject to applicable law and the Privacy Policy.
- If AstraEye Labs' right to provide Tiingo Data expires or terminates, or if we instruct you that deletion is required, you must promptly stop using and permanently delete or destroy all Tiingo Data in your possession or control, including any permitted exports and copies. This deletion obligation does not require deletion of an independently created derivative work that is not a substitute for Tiingo Data and cannot be reverse engineered to recover or reconstruct Tiingo Data, unless applicable law or another term requires its deletion.
Market Data from Tiingo.com.
Financial Modeling Prep data and derived products. Certain earnings-call transcripts, analyst estimates and recommendations, market news, press releases, and related financial information are licensed from Financial Modeling Prep, operated by Utradea Inc. ("FMP Data"). AstraEye Labs may also provide summaries, insights, analytics, and other outputs derived from FMP Data ("FMP Derived Products"). In addition to the restrictions above, the following terms apply:
- FMP Data and FMP Derived Products are provided only to authenticated AstraEye Labs users through the platform and solely for each user's own internal, personal, non-commercial informational research. Your account does not provide direct access to FMP's services, APIs, credentials, or delivery systems.
- As a limited exception to the paragraph above, AstraEye Labs may publish select FMP Derived Products on a public page that does not require authentication, for informational and promotional purposes. A publication made under this exception contains only AI-generated summary prose - never FMP Data itself, a table, a compilation, or a visual brief - and is subject to the same integrity, attribution, and no-advice terms as any other FMP Derived Product under these Terms.
- FMP and its licensors retain all right, title, and interest in FMP Data and the compilation of that data. You receive only the limited right to view FMP Data and use FMP Derived Products through AstraEye Labs during the period in which we are authorized to provide them. No FMP Data is sold or transferred to you.
- You may not copy, download, scrape, extract, harvest, reproduce, republish, distribute, transmit, sell, rent, lease, lend, sublicense, assign, furnish, or otherwise make FMP Data available to another person, except through a specific export function that AstraEye Labs expressly authorizes in writing. You may not compile or maintain a directory, database, archive, or substitute data service from FMP Data or FMP Derived Products.
- You may not reverse engineer, disassemble, decompile, decode, adapt, or attempt to discover FMP's collection or compilation methods; remove or alter a proprietary notice; circumvent access, rate, usage, or security controls; or use FMP Data or FMP Derived Products to build, train, benchmark, market, or operate a competing data, news, transcript, estimate, analytics, or AI product.
- You must preserve the integrity and context of FMP Data. You may not alter, distort, selectively omit, or present it in a manner that materially changes its meaning or falsely attributes a statement, estimate, recommendation, news item, or transcript to FMP, an issuer, an analyst, or another source.
- FMP Derived Products are transformations of licensed source material, not the original source and not a substitute for it. You may not use a Derived Product to identify, recover, reconstruct, or reproduce underlying FMP Data. AI-created FMP Derived Products may contain additional errors and must be independently verified against an authorized primary source.
- You may refer to Financial Modeling Prep only as a source where AstraEye Labs provides that source identification. You may not use FMP's names, logos, or marks, imply that FMP sponsors or endorses AstraEye Labs or your activities, or make a representation or warranty on FMP's behalf.
- If AstraEye Labs' FMP license expires or terminates, or we otherwise lose the right to provide affected data, your right to access and use the affected FMP Data and FMP Derived Products immediately ends. You must stop using and delete any authorized copies in your possession or control when we instruct you to do so. We may remove, disable, redact, or cease providing affected current or historical content without liability, subject to applicable law.
FMP Data and FMP Derived Products are provided "as is" and "as available" for informational purposes only. They may be delayed, incomplete, inaccurate, misclassified, or unavailable; they are not investment, financial, legal, tax, or accounting advice. FMP does not make a representation or warranty to you and is not responsible or liable to you for your use of FMP Data or FMP Derived Products. Nothing in these Terms makes you an FMP customer or grants you a right to enforce AstraEye Labs' agreement with FMP.
Intrinio market and reference data. Certain U.S. equity options, equities, fundamentals, and institutional-ownership (13F) data displayed through the platform is licensed from Intrinio, Inc. ("Intrinio Data"). In addition to the restrictions above, the following terms apply to your use of Intrinio Data:
- Intrinio Data is made available solely through AstraEye Labs for your own internal, personal, non-commercial research and viewing. You receive no direct access to Intrinio's services, APIs, or credentials, and no ownership interest in Intrinio Data.
- You may not resell, redistribute, sublicense, publish, transmit, furnish, commercially exploit, or otherwise make Intrinio Data available to another person; use it on a service-bureau basis; or use it to build or operate a product or service that substantially substitutes for an Intrinio subscription.
- You may not systematically extract, download, scrape, collect, reconstruct, or create a database from Intrinio Data; reverse engineer it; remove proprietary notices; or attempt to identify or reconstruct underlying Intrinio Data from AstraEye Labs' calculations, research, or other derived outputs.
- You may not use Intrinio Data, or any AstraEye Labs output derived from it, to develop, train, fine-tune, or improve a machine-learning or AI model; and you may not transmit Intrinio Data to a third-party artificial-intelligence, machine-learning, or externally hosted processing service, except where AstraEye Labs is expressly authorized to permit that use. No use of AI or machine-learning technology creates an exception to these restrictions.
- Intrinio and its upstream sources retain all right, title, and interest in Intrinio Data. If AstraEye Labs' right to provide Intrinio Data expires or terminates, or we instruct you that deletion is required, you must promptly stop using and permanently delete or destroy all Intrinio Data in your possession or control, other than an independently created derivative work that is not a substitute for Intrinio Data and cannot be reverse engineered to recover it.
Data is from Intrinio.
On-chain and additional crypto market data. Certain on-chain analytics (token-holder distribution and exchange or bridge flows) are provided through Bitquery; certain crypto options and order-book market data through CoinAPI; and certain public on-chain blockchain data through Alchemy. This data is provided under those providers' commercial terms and solely for your own personal, non-commercial research through the platform. You may not redistribute the raw data, share downloadable datasets, share credentials, or access it other than through AstraEye Labs. The current source list and any required credits are in the Data Sources and Attributions notice.
AI providers. AI inference is performed by Anthropic and OpenAI under their commercial terms. You agree to use AI features in compliance with those providers' usage policies (including Anthropic's Usage Policy and OpenAI's Usage Policies). AI-generated statements may be false, incomplete, or misleading and must not be relied upon without independently verifying their accuracy. See the Risk and AI Disclosure.
Account linking. Data from linked accounts is obtained through Plaid and the exchanges you connect, under their respective terms and privacy policies, as described in the Privacy Policy (Section 6). AstraEye Labs does not control and is not responsible for any third-party site, application, or service you connect to, or for any information you choose to share with a third party in connection with such a connection; your dealings with those third parties are solely between you and them.
You should verify important facts directly with your broker, exchange, issuer filings, market-data provider, or other primary source before making financial decisions.
13. User Responsibilities
You agree that you will:
- Use AstraEye Labs only for lawful purposes.
- Provide accurate account, billing, and portfolio information.
- Maintain the security of your login credentials.
- Review all AI-generated information independently.
- Comply with all laws, rules, regulations, exchange terms, broker terms, tax obligations, and employer restrictions that apply to you.
- Not use AstraEye Labs to trade or analyze accounts you are not authorized to access.
- Keep independent copies of records you may need and promptly review synchronized data for missing accounts, addresses, assets, transactions, or other errors.
14. Prohibited Uses
You may not:
- Use AstraEye Labs to violate securities, commodities, crypto, tax, sanctions, anti-money-laundering, export-control, or consumer-protection laws.
- Attempt to bypass tier limits, usage limits, billing controls, trial restrictions, security controls, or access controls.
- Reverse engineer, decompile, overload, attack, or interfere with the platform.
- Submit malicious files, prompts, code, CSVs, or payloads.
- Copy, reproduce, republish, mirror, frame, distribute, sell, sublicense, or otherwise make the platform's data, market data, content, scores, or outputs available to any third party, except as expressly permitted in writing.
- Create derivative works from, or use the platform's data, content, or outputs to build, market, or operate a competing product or service.
- Use the platform, its data, content, or outputs to develop, train, fine-tune, or improve any machine-learning or AI model.
- Transmit platform data, provider data, content, or outputs to a third-party artificial-intelligence, machine-learning, embedding, retrieval, or automated processing service, except where AstraEye Labs expressly authorizes that use in writing.
- Use artificial intelligence, machine learning, agents, embeddings, retrieval, aggregation, transformation, derived calculations, or another technical method to evade or expand the license rights in these Terms. Use of such technology does not create an exception to restrictions on access, copying, display, redistribution, retention, commercialization, or derivative use.
- Create or expose any output, dataset, model, API, report, dashboard, chatbot, or other system that reproduces, approximates, reveals, or enables another person to infer, recover, or reconstruct AstraEye Labs content or an underlying provider dataset.
- Use the platform, its data, content, or outputs to build, provide, or support a product or service that substantially substitutes for AstraEye Labs or for an underlying data-provider subscription, including a competing data, research, analytics, API, or AI service.
- Access the platform or its data by automated means (including bots, spiders, scrapers, or crawlers) except through an API that AstraEye Labs authorizes and within its published limits.
- Use AstraEye Labs outputs as your own regulated advice to third parties unless you are legally authorized to do so.
- Misrepresent AstraEye Labs as a registered adviser, broker, exchange, custodian, or regulated financial institution.
- Use AstraEye Labs data or outputs as a consumer report or to determine another person's eligibility for credit, insurance, employment, housing, government benefits, a deposit account, or another purpose governed by the Fair Credit Reporting Act or similar law, or to take an adverse action against another person.
API and technical limits. Where AstraEye Labs provides API or programmatic access, your use is subject to rate limits, request quotas, payload limits, and other technical constraints, and AstraEye Labs may throttle, suspend, or block access that exceeds acceptable limits or that threatens the security, integrity, or availability of the platform. Data obtained through the API remains subject to all restrictions in this Section and in Section 11.
14.1 Research API - Personal Use Only
Where AstraEye Labs makes the Research API available to your account, this Section 14.1 governs it. It prevails, to the extent of the conflict and no further, over the two prohibitions in this Section 14 that it exists to unlock: the prohibition on transmitting platform data to a third-party artificial-intelligence or automated processing service, and the prohibition on accessing the platform by automated means. Every other prohibition in this Section 14 continues to apply to the Research API in full. The Research API is read-only. It exposes the list of your own research projects, an index of your own finished reports, and the written prose summary of each of those reports. It cannot start research, spend Astra Credits, place or route an order, or alter your research, your credits, your settings, or any other content of your account. Read requests do record that they happened - the time a token was last used, and an access-log entry you can review - so that unrecognized access is visible to you.
Personal use only. Access is granted to you personally, for your own personal, non-commercial research purposes, and for no other purpose. You may use it only for your own research and only in connection with your own account. You may not use the Research API on behalf of, for the benefit of, or to deliver any product, report, service, or output to any other person or entity, whether or not you charge for it. This is a personal-use grant and is not a commercial, enterprise, redistribution, service-bureau, or resale license.
Your credential is personal. A Research API token authenticates your account without a browser sign-in and outlives your sessions. You must keep it confidential, must not share, publish, sell, transfer, or sublicense it, and must not allow any other person to use it. You are responsible for all activity conducted with your token. Tokens are limited to one active token per account and expire automatically. If you believe a token has been exposed, you must revoke it immediately from your account settings and create a replacement.
Express authorization for your own AI tools, and its limits. As an express written exception to the prohibitions in this Section 14 on transmitting platform data to a third-party artificial-intelligence or automated processing service and on automated access, AstraEye Labs authorizes you to use the Research API to make your own research summaries available to an artificial-intelligence assistant, agent, or other tool that you personally operate and control, solely for your own personal research purposes. That authorization is limited to that purpose and does not permit any of the following, each of which remains prohibited:
- using the content, or permitting any tool to use it, to develop, train, fine-tune, evaluate, or improve any machine-learning or artificial-intelligence model;
- retaining, storing, or accumulating the content beyond what your personal use requires, or assembling it into a dataset, index, archive, or corpus;
- using repeated or scheduled requests to reconstruct, approximate, or recreate any underlying data-provider dataset, or any material part of one;
- making the content available to any other person, including through a shared workspace, shared assistant, published output, bot, channel, or group; or
- using the content to build, market, operate, or support any product or service, including a competing data, research, analytics, API, or AI service.
You are responsible for the tool you choose and for its handling of the content you send it. AstraEye Labs does not control, endorse, or accept responsibility for any third-party tool, and the terms of this Section bind you rather than that tool's operator. Before sending content to any tool, you are responsible for satisfying yourself that its terms and data practices are consistent with your obligations under this Section, including that it does not train on, retain, or redistribute what you send it.
What the Research API returns, and what it does not convey. Content returned by the Research API is AstraEye Labs derived research output. It is not, and must not be treated as, raw or redistributed market data from any data provider. Access to it conveys no license, right, title, or interest in any data provider's data, services, APIs, or systems, and creates no relationship of any kind between you and any data provider. Section 12 continues to govern provider-sourced material, and its restrictions apply in full to anything you receive through the Research API.
For the avoidance of doubt, the Research API transmits no provider data. It returns AstraEye Labs prose describing what research found. It does not return, and is not a means of exporting, any provider's market data, figures, series, quotes, or datasets, and it is not a data-export feature within the meaning of any provision of Section 12 that permits or limits the export of a provider's Data. Every restriction in Section 12 that governs AstraEye Labs output derived from provider data continues to apply in full, including the prohibitions on using such output to train a model and on identifying or reconstructing an underlying provider dataset from it.
Attribution. Responses include source attribution and required disclosures as structured fields. You must not remove, alter, obscure, suppress, or detach them from the content they accompany, and you must preserve them in any permitted personal use, including where the content is displayed or read back to you by a tool you operate.
No advice. Research API content is informational and educational only. It is not financial, investment, legal, or tax advice, is not a recommendation or solicitation, and is not personalized to your circumstances. Sections 3 and 4 apply in full to everything returned by the Research API, including where a tool you operate reformats, summarizes, or reads it back to you.
Availability and enforcement. The Research API is an optional feature that AstraEye Labs may make available, limit, suspend, or discontinue at any time, including for your account specifically. AstraEye Labs may revoke any token, apply or change rate limits and quotas, and suspend or terminate access where it reasonably believes this Section has been breached or where required by a data provider's terms. Breach of this Section 14.1 is a breach of these Terms and may result in termination under Section 21.
15. Sanctions and Export Compliance
In accordance with the International Emergency Economic Powers Act, 50 U.S.C. § 1701 et seq., and the economic-sanctions regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) at 31 C.F.R. Chapter V, you represent and warrant that you are not located in, and are not a national or resident of, a country or region subject to comprehensive U.S. sanctions or embargo; that you are not identified on any U.S. government restricted-party or sanctions list (including OFAC's List of Specially Designated Nationals and Blocked Persons); and that you will not use the platform in violation of U.S. export-control or sanctions laws. We may block, suspend, or terminate access to comply with these laws.
16. Privacy and Data Security
Your use of AstraEye Labs is also governed by the Privacy Policy, which describes what data is collected, how it is used, how long it is retained, which subprocessors may receive it, how account connections are secured, and how users may exercise their privacy rights.
No internet service can guarantee perfect security. You acknowledge the risks of transmitting and storing data online.
Monitoring and disclosure for legal and administrative reasons. AstraEye Labs has the right, but not the obligation, to monitor use of the platform. We may access, use, preserve, transfer, or disclose your information (as described in the Privacy Policy) where we reasonably believe it is necessary to: (a) comply with applicable law, regulation, subpoena, court order, or other legal process, or respond to a lawful governmental or law-enforcement request; (b) enforce these Terms, including investigating potential violations; (c) protect the safety, rights, property, or security of our users, AstraEye Labs, or any third party; or (d) detect, prevent, or address fraud, abuse, or security or technical issues.
17. Availability, Changes to the Service, and Changes to These Terms
AstraEye Labs may be unavailable, delayed, degraded, or incorrect due to maintenance, infrastructure incidents, third-party provider issues, model outages, market-data delays, or other causes.
Notifications are convenience features, not monitoring services. Research, market, portfolio, account-connection, email, SMS, push, and in-product alerts or notifications may be delayed, duplicated, incomplete, inaccurate, or not delivered. They are not guaranteed to be real-time and are not a substitute for monitoring your financial accounts, positions, markets, or applicable deadlines through authoritative sources. You remain responsible for doing so directly. This operational limitation does not alter any notice right or obligation that cannot be limited under applicable law.
AstraEye Labs may change, suspend, limit, or discontinue features, tiers, models, research templates, data providers, pricing, and usage policies at any time, subject to applicable law and any commitments shown at checkout.
If a third-party license expires, terminates, changes, or no longer permits us to retain or display particular data or derived materials, we may immediately remove, disable, redact, replace, or cease providing the affected content or feature. You acknowledge that provider-required removal may affect current and historical charts, exports, research artifacts, alerts, calculations, and other outputs, and does not entitle you to continued access to the affected provider data.
Territorial availability. AstraEye Labs is offered from the United States and is intended for users in the jurisdictions we serve. We make no representation that the platform or its content is appropriate or available for use in other locations. You may not use the platform where doing so would be contrary to the law of your jurisdiction, and you are responsible for compliance with local law. We may limit or restrict the availability of the platform, or any feature, to any person, geographic area, or jurisdiction at any time in our discretion.
Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email, in-product notice, or by updating the "Effective date" above and, for material changes, a more prominent notice). Your continued use after changes take effect constitutes acceptance. If you do not agree to a change, your remedy is to stop using the platform and close your account.

The disclaimers in this Section are intended to be conspicuous. Please read them carefully.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT, DATA, RESEARCH, AND OUTPUTS MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ASTRAEYE LABS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUALITY, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE.
ASTRAEYE LABS DOES NOT WARRANT THAT THE PLATFORM WILL BE ACCURATE, PROFITABLE, UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR FINANCIAL DECISION. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, THAT YOU OBTAIN FROM ASTRAEYE LABS CREATES ANY WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS.
Third-party inputs and derived research. FOR UNDERLYING MARKET, REFERENCE, ON-CHAIN, AND ACCOUNT DATA, ASTRAEYE LABS RELIES ON THE THIRD-PARTY DATA PROVIDERS, BROKERAGES, AND EXCHANGES THAT SUPPLY THAT DATA. ASTRAEYE LABS SELECTS, COMBINES, ANALYZES, AND PRESENTS THIRD-PARTY INPUTS AND MAY USE AI PROVIDERS TO GENERATE DERIVED RESEARCH. ASTRAEYE LABS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR AVAILABILITY OF EITHER THE UNDERLYING INPUTS OR THE RESULTING DERIVED RESEARCH AND DISCLAIMS LIABILITY FOR ERRORS, OMISSIONS, DELAY, STALENESS, OR UNAVAILABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
YOU USE THE PLATFORM AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE, SYSTEMS, OR PROPERTY, OR ANY LOSS OF DATA, THAT RESULTS FROM YOUR USE OF THE PLATFORM.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
19. Limitation of Liability
The limitations in this Section are intended to be conspicuous and apply even to claims based on AstraEye Labs' own negligence. Please read them carefully.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EVEN IF A CLAIM ARISES FROM ASTRAEYE LABS' OWN NEGLIGENCE, ASTRAEYE LABS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, TRADING, INVESTMENT, MARKET, TAX, DATA-LOSS, BUSINESS-INTERRUPTION, OR LOST-PROFIT DAMAGES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EVEN IF A CLAIM ARISES FROM ASTRAEYE LABS' OWN NEGLIGENCE, THE TOTAL AGGREGATE LIABILITY OF ASTRAEYE LABS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OR WERE REQUIRED TO PAY TO ASTRAEYE LABS FOR THE PLATFORM IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability, or waives any right or remedy, that cannot be excluded, limited, or waived under applicable law - including liability for fraud or fraudulent misrepresentation; liability for death or personal injury caused by negligence; and any non-waivable rights you have under the Texas Deceptive Trade Practices - Consumer Protection Act, Tex. Bus. & Com. Code § 17.41 et seq. (which, under § 17.42, generally may not be waived in a consumer agreement).
Each disclaimer, damage exclusion, and liability limitation in these Terms is an independent allocation of risk reflected in the pricing and availability of the platform and applies to the maximum extent permitted by law even if a limited remedy fails of its essential purpose.
20. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless AstraEye Labs and its owners, employees, contractors, and affiliates from and against third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your breach of these Terms, the Privacy Policy, or the Risk and AI Disclosure; (c) your violation of any law or the rights of a third party; (d) Your Content or data you provide; (e) financial or trading decisions you make; or (f) any dispute between you and a third party, including any data provider, brokerage, exchange, or other user. You will not settle any such claim in a way that imposes any obligation or admission on AstraEye Labs without our prior written consent. AstraEye Labs may, at its own expense, assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with that defense.
Your indemnification obligation does not apply to the extent a third-party claim is finally determined to have resulted from AstraEye Labs' gross negligence, willful misconduct, or violation of law.
21. Termination
AstraEye Labs may suspend or terminate accounts that violate these Terms, create security risk, abuse trials or credits, fail payment, or expose the platform to legal or operational risk.
Users may cancel according to the billing flow shown in the product. Certain historical research artifacts may remain available or retained as described in the product, Privacy Policy, or retention schedule.
Notwithstanding the foregoing, data or content licensed from a third party may be deleted, destroyed, disabled, or made unavailable when the applicable provider agreement expires or terminates, when the provider requires removal, or when our right to retain or display it otherwise ends. At our request, you must delete any provider data or permitted exports remaining in your possession or control and, where reasonably requested, confirm that deletion. No retention statement in these Terms grants a right to retain third-party data after the governing license ends.
Upon termination, your license and right to use the platform end immediately. You remain responsible for fees and other amounts incurred before termination, and suspension or termination for a violation of these Terms does not entitle you to a refund or credit except where required by law. You are responsible for exporting or retaining any records you need before closing your account; access to Your Content and research artifacts may end when the account closes, subject to the Privacy Policy and any non-waivable legal rights.
The sections that by their nature should survive termination - including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General - survive termination.
22. Dispute Resolution, Governing Law, and Venue
Informal resolution first. Before filing any formal claim, you agree to contact us at legal@astraeyelabs.io and give us 60 days to resolve the matter in good faith. Many disputes can be resolved this way.
Governing law. These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.
Venue. Except where prohibited by applicable law, you and AstraEye Labs agree that any dispute not resolved informally will be brought exclusively in the state or federal courts located in Texas, and each party consents to personal jurisdiction there.
Jury-trial waiver. This waiver is intended to be conspicuous; you agree to it knowingly and voluntarily. TO THE EXTENT PERMITTED BY LAW, YOU AND ASTRAEYE LABS EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.
Class-action waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND ASTRAEYE LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL PROCEEDING. This class-action waiver does not waive, and shall not be construed to waive, any right that cannot be waived under applicable law, including any right under the Texas Deceptive Trade Practices - Consumer Protection Act (Tex. Bus. & Com. Code § 17.41 et seq.) to the extent a waiver would be void under § 17.42. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall be severed and may proceed in court, while the remainder of this Section continues to apply.
Time to file. In accordance with Tex. Civ. Prac. & Rem. Code § 16.070, and to the extent permitted by law, any claim arising out of or relating to these Terms or the platform must be brought within two (2) years after the claim arose; otherwise it is permanently barred.
23. Electronic Communications
In accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. § 7001, you consent to receive these Terms, the Privacy Policy, the Risk and AI Disclosure, account and transactional notices, security alerts, and other communications and records electronically - by email, through the product, or by posting to the website - and you agree that electronic delivery satisfies any legal requirement that such communications be in writing.
Your e-consent. To receive records electronically you need a device with internet access, a current web browser, and a valid email address, and the ability to view and retain PDF or web-page documents. You may withdraw your consent to electronic delivery, or request a paper copy of a specific record, by contacting us at legal@astraeyelabs.io; withdrawing consent may require us to suspend or close your account where electronic delivery is essential to the service. Please keep your contact information current so that we can deliver records to you.
SMS security codes. SMS text messaging is optional and is used only to deliver one-time security and account-verification codes; we do not send marketing, promotional, investment, trading, or research messages by SMS. You may enable it by adding a mobile number and giving separate SMS consent in account settings, and you can opt out at any time by replying STOP. SMS consent is not a condition of registration, purchase, or use of the service. This messaging program is governed by the SMS Security Code Terms, which supplement these Terms.
24. General
- Entire agreement. These Terms, together with the Privacy Policy, Risk and AI Disclosure, and any terms shown at checkout, are the entire agreement between you and AstraEye Labs and supersede prior agreements on the same subject.
- Severability. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them, including in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control (including provider outages, network failures, acts of God, or governmental action).
- Notices. Notices to us go to legal@astraeyelabs.io; notices to you go to the email or in-product channel associated with your account.
- No third-party beneficiaries. These Terms do not create rights for anyone other than you and AstraEye Labs.
- Relationship. You and AstraEye Labs are independent parties; these Terms create no partnership, agency, employment, or fiduciary relationship.
